Material definitive agreement

A material contract outside the company's ordinary course of business. Signing, changing or ending one is reported on an 8-K.

Signing or materially changing one is reported under 8-K Item 1.01, and an early termination under Item 1.02. The SEC's examples include a five-year bank loan and a long-term lease. Source 1 Source 2
